| Zarząd XTPL S.A. [“Emitent”, “Spółka”, “XTPL”] informuje, że w dniu 7 kwietnia 2025 r. Spółka potwierdziła zamówienie złożone przez University of Massachusetts at Lowell w USA [„Klient”] na dostawę urządzenia Delta Printing System [“DPS”]. Urządzenie DPS będzie wykorzystywane do prowadzenia prac badawczo-rozwojowych w obszarze mikroelektroniki i elektroniki drukowanej. Transakcja została zawarta w wyniku działalności spółki zależnej XTPL Inc. z siedzibą w Bostonie, USA ["XTPL Inc."], która również będzie obsługiwać transakcję operacyjnie. Przychody uzyskane z realizacji zamówionego urządzenia DPS będą miały pozytywny wpływ na wyniki finansowe XTPL S.A. osiągnięte w 2025 r. Zarząd Emitenta uznał fakt sprzedaży urządzenia DPS na znaczący rynek za informację poufną, ponieważ jej realizacja może mieć istotny wpływ na przyszłą sytuację przychodową Emitenta, popularyzację rozwiązań technologicznych Spółki, a także na perspektywę postrzegania Emitenta przez inwestorów. Z przyczyn wyżej opisanych informacje przekazane w niniejszym raporcie bieżącym w opinii Zarządu Emitenta spełniają kryteria informacji poufnej w rozumieniu art. 7 ust. 1 MAR. |

| Title: Sale of Delta Printing System to the University of Massachusetts at Lowell, USA. Legal basis: Article 17(1) MAR - confidential information. Content of the Report: The Management Board of XTPL S.A. [the “Issuer”, the “Company”, “XTPL”] hereby announces that on April 7, 2025, the Company confirmed an order placed by the University of Massachusetts at Lowell in the USA [the “Client”] for the delivery of a Delta Printing System device [“DPS”]. The DPS device will be used for research and development activities in the field of microelectronics and printed electronics. The transaction was concluded as a result of the activities of the Company’s subsidiary, XTPL Inc., based in Boston, USA [“XTPL Inc.”], which will also provide operational support for the transaction. Revenue from the execution of the DPS order will have a positive impact on the financial results of XTPL S.A. in 2025. The Issuer’s Management Board has classified the sale of the DPS device to a major market as inside information, as its implementation may have a significant impact on the Issuer’s future revenue situation, the dissemination of the Company’s technological solutions, and the perception of the Issuer by investors. For the reasons outlined above, the information disclosed in this current report, in the opinion of the Issuer’s Management Board, meets the criteria of inside information as defined in Article 7(1) of MAR. |
