| Board of Directors of Kernel Holding S.A. ("the Company") with its registered office in Luxembourg, with regard to the current report no. 02/2022 dated 19th of January 2022 and the Invitation attached thereto ("Invitation") to tender for sale shares in the Company ("Shares"), the Company informs that: i. the number of Shares to be purchased as a result of the Invitation was determined as 3,375,000 (three million three hundred and seventy-five thousand); ii. the value (based on the Buyback Price) of all purchased Shares will equal to PLN 189,000,000 (one hundred eighty-nine million Polish Zloty); iii. the final buyback price for each Share ("Buyback Price") was determined as PLN 56 (fifty-six Polish Zloty). The Buyback Price was determined by the Brokerage House IPOPEMA Securities S.A. in order to maximize the final number of Shares to be purchased by the Buyer (as defined in the Invitation) according to the rules set out in the Invitation; iv. tenders submitted by shareholders with a price higher than the Buyback Price will not be executed; v. tenders submitted by Shareholders with a price lower than the Buyback Price will be executed in full at Buyback Price; and vi. tenders submitted by Shareholders with a price equal to Buyback Price will be reduced by 15.3%. The Buyback settlement date is 3rd of February 2022. |
