| Zarząd XTPL S.A. [“Emitent”, “Spółka”, “XTPL”] informuje, że w dniu 27 marca 2025 r. Spółka potwierdziła zamówienie złożone przez klienta przemysłowego z siedzibą w USA [„Klient”] na dostawę urządzenia Delta Printing System [“DPS”]. Klient jest wykonawcą zbrojeniowym (ang. defence contractor) działającym w sektorze obronnym (ang. defence). Urządzenie DPS będzie wykorzystywane do prowadzenia prac badawczo-rozwojowych oraz prototypowania. Transakcja została zawarta w wyniku działalności spółki zależnej XTPL Inc. z siedzibą w Bostonie, USA ["XTPL Inc."], która również będzie obsługiwać transakcję operacyjnie. Otwarcie biura XTPL Inc., w postaci centrum demonstracyjno-sprzedażowego w Bostonie, było częścią strategii Spółki przyjętej w listopadzie 2023 roku (RB Nr 54/2023 z dnia 22 listopada 2023 roku). Spółka sprzedała dotąd na rynku Ameryki Płn. łącznie 8 urządzeń DPS. Przychody uzyskane z realizacji zamówionego urządzenia DPS będą miały pozytywny wpływ na wyniki finansowe XTPL S.A. osiągnięte w 2025 r. Zarząd Emitenta uznał fakt pierwszej sprzedaży urządzenia DPS na nowy i potencjalnie znaczący dla Spółki rynek sektora obronnego, za informację poufną, ponieważ jej realizacja może mieć istotny wpływ na przyszłą sytuację przychodową Emitenta, popularyzację rozwiązań technologicznych Spółki, a także na perspektywę postrzegania Emitenta przez inwestorów. Z przyczyn wyżej opisanych informacje przekazane w niniejszym raporcie bieżącym w opinii Zarządu Emitenta spełniają kryteria informacji poufnej w rozumieniu art. 7 ust. 1 MAR. |

| Title: Sale of the Delta Printing System to a defence contractor in the USA. Legal basis: Article 17(1) MAR - confidential information. Content of the Report: The Management Board of XTPL S.A. [the "Issuer," the "Company," "XTPL"] hereby informs that on March 27, 2025, the Company confirmed an order placed by an industrial client based in the USA [the "Client"] for the delivery of a Delta Printing System ["DPS"]. The Client is a defence contractor operating in the defence sector. The DPS device will be used for research and development as well as prototyping. The transaction was concluded as a result of the activities of the Company's subsidiary, XTPL Inc., based in Boston, USA ["XTPL Inc."], which will also handle the transaction operationally. The opening of XTPL Inc.'s office in the form of a demonstration and sales center in Boston was part of the Company's strategy adopted in November 2023 (Current Report No. 54/2023 dated November 22, 2023). To date, the Company has sold a total of 8 DPS devices in the North American market. The revenue generated from the execution of the ordered DPS device will have a positive impact on XTPL S.A.'s financial results in 2025. The Issuer's Management Board has deemed the first sale of a DPS device to a new and potentially significant defence sector market as inside information, as its execution may have a material impact on the Issuer's future revenue situation, the popularization of the Company's technological solutions, and the perception of the Issuer by investors. For the reasons described above, the information disclosed in this current report, in the opinion of the Issuer's Management Board, meets the criteria of inside information within the meaning of Article 7(1) of MAR. |
