| Zarząd Spółki Vivid Games S.A. (dalej jako: „Spółka”, „Emitent”), niniejszym informuje, że w dniu 20 czerwca 2022 r. Spółka zawarła wstępne porozumienie (term sheet) dotyczące kluczowych warunków sprzedaży przez Spółkę technologii Bidlogic. Zawarcie ww. porozumienia tożsame jest z podjęciem przez Spółkę ostatecznej decyzji o przystąpieniu do skonkretyzowanych działań zmierzających do sprzedaży technologii Bidlogic. Zgodnie z ww. porozumieniem nabywca – polska spółka działająca w branży reklamowej – nabędzie pełne prawa do technologii Bidlogic wraz ze wszystkimi jej elementami za łączną cenę równą 10 mln złotych, zapłaconą w transzach płatnych do końca 2023 r., przy czym większość, tj. 7.5 mln złotych zostanie zapłacona w dniu zawarcia umowy sprzedaży. Projekt Bidlogic rozwijany jest przez Spółkę w formacie zbliżonym do inkubacji biznesu, z kluczowym udziałem pomysłodawcy projektu. W związku z powyższym, zgodnie z zawartą wcześniej umową z założycielem projektu, Spółka zobowiązana będzie do zapłaty na jego rzecz wynagrodzenia w wysokości 50% ceny sprzedaży pomniejszonej o koszty poniesione przez Emitenta w związku z rozwojem projektu. Zawarcie umowy z kupującym zostanie poprzedzone badaniem due diligence przeprowadzonym przez doradców kupującego oraz negocjacjami dotyczącymi szczegółowych postanowień umowy sprzedaży. Warunkiem jej zawarcia jest pomyślny wynik badania i negocjacji. Zgodnie z ustalonym z kupującym harmonogramem umowa sprzedaży zostanie zawarta do dnia 31 lipca 2022 r.. Spółka poinformuje w odrębnym komunikacie o zawarciu umowy i jej ostatecznych postanowieniach lub o podjęciu decyzji o niezawieraniu umowy. |

(hereinafter referred to as: the "Company", "Issuer"), hereby informs that on June 20th, 2022, the Company concluded a preliminary agreement (term sheet) regarding the key terms and conditions of the sale of Bidlogic technology by the Company. The conclusion of the above-mentioned agreement is tantamount to the final decision made by the Company to sell Bidlogic technology.</font></span> </b> </p> <p dir="ltr" align="justify" style="line-height: 1.38; margin-top: 12pt; margin-bottom: 12pt"> <b charset="utf-8" id="docs-internal-guid-86ffc39a-7fff-bf78-5c1f-bda2a7ba8fe5"><span style="font-variant: normal; white-space: pre-wrap"><font size="10pt" face="Lato,sans-serif" color="#000000">In accordance with the above-mentioned term sheet, the buyer - a Polish company operating in the advertising industry - will acquire full rights to the Bidlogic technology with all its elements for a total price of PLN 10 million paid in installments payable by the end of 2023. The majority of the sale price in the amount of PLN 7.5 million will be paid on the date of the conclusion of the contract. The Company informs that the project was developed in a manner similar to a start-up with a key participation of the creator of the project. The Company shall pay the creator a remuneration amounting to 50% of the price decreased by the costs incurred by the Issuer in respect of the development of the project.</font></span> </b> </p> <p dir="ltr" align="justify" style="line-height: 1.38; margin-top: 12pt; margin-bottom: 12pt"> <b charset="utf-8" id="docs-internal-guid-86ffc39a-7fff-bf78-5c1f-bda2a7ba8fe5"><span style="font-variant: normal; white-space: pre-wrap"><font size="10pt" face="Lato,sans-serif" color="#000000">The conclusion of the contract with the buyer will be preceded by a due diligence study carried out by the buyer and negotiations on the details of the sales contract. The condition for concluding the contract is the successful result of the examination and negotiation.
