| W nawiązaniu do informacji ujawnionych w prospekcie Spółki zatwierdzonym przez Komisję Nadzoru Finansowego w dniu 23 listopada 2021 r. („Prospekt”) i dotychczasowych raportach okresowych Spółki dotyczących postępowania karnego przeciwko byłemu klientowi spółki z Grupy STS tj. STS S.A., Zarząd STS Holding S.A. („Emitent”) informuje o powzięciu wiadomości o doręczeniu w dniu 29 sierpnia 2022 r. informacji o zajęciu wierzytelności pieniężnej z rachunku bankowego spółki zależnej Emitenta tj. STS S.A. na kwotę w wysokości 9,2 mln PLN. Zajęcia dokonano na skutek prawomocnego zakończenia postępowania karnego względem byłego klienta STS S.A. oraz realizacji postanowienia o zabezpieczeniu majątkowym i w przedmiocie blokad rachunków bankowych, o czym Spółka informowała w Prospekcie oraz raportach okresowych. Zarząd Emitenta informuje jednocześnie, iż na chwilę wydania niniejszego raportu, egzekucja ze środków objętych zajęciem nie została zakończona, a sama spółka STS S.A. podejmie wszelkie dostępne na tym etapie środki prawne przysługujące Spółce w postępowaniu egzekucyjnym celem ochrony środków objętych zajęciem. Dodatkowo Emitent zaznacza , iż STS S.A. nie była stroną postępowania karnego przeciwko wymienionemu powyżej byłemu klientowi i nie posiadała odpowiednich narzędzi procesowych umożliwiających ochronę interesów Spółki w ramach toczącego się postępowania karnego. W maju 2021 roku, spółka STS S.A. wystąpiła jednakże z powództwem cywilnym przeciwko Skarbowi Państwa z roszczeniem na kwotę 9,2 mln PLN, odpowiadającej wysokości środków objętych aktualnym zajęciem. Postępowanie jest obecnie w toku i nie zostało rozstrzygnięte. STS S.A. zamierza wykorzystać wszelkie przysługujące jej środki prawne w celu ochrony swoich interesów majątkowych. W opinii Emitenta zaistniała sytuacja nie ma istotnego wpływu na sytuację finansową Grupy STS. |

(”<b>Issuer</b>”) would like to announce that it has become aware that on 29 August 2022, information on the seizure of cash receivables on the bank account of a subsidiary of the Issuer, i.e. STS S.A., in the amount of PLN 9.2 million was delivered. The seizure was made pursuant to the final termination of criminal proceedings against a former STS S.A. client and the execution of the decision on property collateral and regarding bank account freeze, about </font></span><font size="11.0pt" face="Arial,sans-serif" color="black"><span> </span><span lang="EN-GB" style="background-color: white; background-image: null; background-repeat: repeat; background-attachment: scroll; background-position: null">which the Company provided information in the Prospectus and regular reports. <o p="#DEFAULT" style="background-color: white; background-image: null; background-repeat: repeat; background-attachment: scroll; background-position: null"></o style="background-color: white; background-image: null; background-repeat: repeat; background-attachment: scroll; background-position: null"></span></font> </p> <p align="justify" style="margin-top: 12.0pt; margin-right: 0cm; margin-bottom: 6.0pt; margin-left: 0cm"> <span lang="EN-GB" style="background-color: white; background-image: null; background-repeat: repeat; background-attachment: scroll; background-position: null"><font size="11.0pt" face="Arial,sans-serif" color="black">The Management Board of the Issuer would also like to announce that as at the issuance of this report, the collection of the seized cash has not been completed, whereas STS S.A. itself will take all legal measures available at this stage to the Company under enforcement proceedings in order to protect the seized cash.</font></span><span lang="EN-GB"><o p="#DEFAULT"></o></span> </p> <p align="justify" style="margin-top: 12.0pt; margin-right: 0cm; margin-bottom: 6.0pt; margin-left: 0cm"> <span lang="EN-GB" style="background-color: white; background-image: null; background-repeat: repeat; background-attachment: scroll; background-position: null"><font size="11.0pt" face="Arial,sans-serif" color="black">In addition, the Issuer notes that STS S.A. was not a party to the criminal proceedings against the aforementioned client and did not have appropriate legal tools to protect the interests of the Company in the course of the criminal proceedings. In May 2021, however, STS S.A. launched a civil action within criminal proceedings against the State Treasury for PLN 9.2 million, which is equivalent to the amount of the currently seized cash. The proceedings are ongoing and are yet to be closed.</font></span><span lang="EN-GB"><o p="#DEFAULT"></o></span> </p> <p align="justify" style="margin-top: 12.0pt; margin-right: 0cm; margin-bottom: 6.0pt; margin-left: 0cm"> <span lang="EN-GB" style="background-color: white; background-image: null; background-repeat: repeat; background-attachment: scroll; background-position: null"><font size="11.0pt" face="Arial,sans-serif" color="black">STS S.A. intends to take all legal measures available to it in order to protect its financial interests.
