| Zarząd Giełdy Papierów Wartościowych w Warszawie („GPW”, „Spółka”, „Giełda”) informuje, że w dniu 24 maja 2023 r. Rada Nadzorcza GPW zatwierdziła strategię rozwoju Grupy Kapitałowej GPW na lata 2023-2027 ("Strategia"). Grupa Kapitałowa GPW w perspektywie lat 2023-2027 planuje osiągnąć średnioroczne przychody w wysokości 498 mln zł oraz średnioroczną EBITDA w wysokości 215 mln zł. Wzrost przychodów w 2027 r. vs. 2023 r. wyniesie 157 mln zł, z tego 101 mln zł przypada na nowe inicjatywy strategiczne. W okresie objętym Strategią nastąpi wzrost marży EBITDA do 50%. Strategia zakłada, że w perspektywie lat 2023-2027 średniorocznie ok. 35% przychodów GK GPW będą stanowić tzw. przychody powtarzalne, czyli przychody niezależne od wartości obrotów instrumentami finansowymi, w tym m.in. usługi sprzedaży danych oraz regularne opłaty od emitentów. Pozwoli to na zwiększenie bezpieczeństwa finansowego spółki i zwiększy przewidywalność jej wyników. Strategia na lata 2023-2027 skupia się na trzech filarach wzrostu Grupy Kapitałowej GPW: - obrót - dane i technologia - nowe modele biznesowe Strategia zakłada realizację szeregu inicjatyw optymalizacyjnych zorientowanych na poprawę efektywności operacyjnej. W latach 2023-2027 Grupa GPW będzie kontynuować transformację modelu operacyjnego, aby stopniowo zwiększać efektywność kosztową. W trakcie obowiązywania Strategii na lata 2023-2027, intencją Zarządu GPW jest rekomendowanie Walnemu Zgromadzeniu wypłat dywidend stosownie do rentowności i możliwości finansowych GPW, na poziomie 60-80% skonsolidowanego zysku netto Grupy Kapitałowej GPW za dany rok obrotowy. Strategia zakłada utrzymanie potencjału akwizycyjnego GK GPW. W przypadku braku realizacji akwizycji Zarząd może rekomendować Walnemu Zgromadzeniu wskaźnik wypłaty dywidendy wyższy niż 60-80%. Spółka zaznacza, że cele i założenia Strategii nie stanowią prognozy lub szacunku wyników, w tym finansowych, i odnoszą się jedynie do zamierzonych kierunków działania w latach 2023-2027. Szczegółowy opis inicjatyw strategicznych na lata 2023-2027 zostanie przedstawiony w prezentacji, którą Spółka zaprezentuje 25 maja 2023 r. podczas konferencji inwestorskiej. Prezentacja zostanie również udostępniona na stronie internetowej www.gpw.pl/relacje-inwestorskie. Jednocześnie Zarząd Spółki informuje, że działając na podstawie art. 17 ust. 1, 4 Rozporządzenia Parlamentu Europejskiego i Rady (UE) nr 596/2014 w sprawie nadużyć na rynku oraz uchylającego dyrektywę 203/6/WE Parlamentu Europejskiego i Rady i dyrektywy Komisji 2003/124/WE, 2003/125/WE i 2004/72/WE podjął w dniu 18 maja 2023 r. decyzję o opóźnieniu przekazania do publicznej wiadomości informacji poufnej dotyczącej zatwierdzenia przez Zarząd GPW strategii rozwoju Grupy Kapitałowej GPW na lata 2023-2027 wraz z nową polityką dywidendową. Podstawa prawna: Art. 17 ust. 1, 4 Rozporządzenia z dnia 16 kwietnia 2014 r. Parlamentu Europejskiego i Rady (UE) nr 596/2014 z dnia 16 kwietnia 2014 r. w sprawie nadużyć na rynku (rozporządzenie w sprawie nadużyć na rynku) oraz uchylające dyrektywę 2003/6/WE Parlamentu Europejskiego i Rady i Dyrektywy Komisji 2003/124/WE, 2003/125/WE i 2004/82/WE (Dz. Urz. UE L Nr 173) („Rozporządzenie MAR”). |

| Current Report No. 7/2023Date: 24 May 2023Topic: Approval by the GPW Supervisory Board of the GPW Group development strategy 2023-2027 including new dividend policy, and disclosure of delayed inside informationLegal basis: Article 17(1) MAR – inside informationContent:The Management Board of the Warsaw Stock Exchange (“GPW”, “Company”, “Exchange”) announces that on 24 May 2023, the GPW Supervisory Board has approved the development strategy of the GPW Group for 2023-2027 (“Strategy”).The GPW Group plans to achieve average annual revenues of PLN 498 million and average annual EBITDA of PLN 215 million in 2023-2027. Revenue in 2027 will increase by PLN 157 million vs. 2023, of which PLN 101 million is attributable to new strategic initiatives. EBITDA margin will increase to 50% in the Strategy time horizon.According to the Strategy, approximately 35% of the GPW Group’s average annual revenues in 2023-2027 will be recurring revenues independent of the turnover in financial instruments, including among others information services and regular fees paid by issuers. This will improve the company’s financial security and the predictability of its results.The 2023-2027 Strategy focuses on three pillars of growth of the GPW Group:- trading- data and technology- new business modelsThe Strategy provides for the implementation of a range of optimisation initiatives focused on improving operational efficiency. Between 2023 and 2027, the GPW Group will continue to transform its operating model to gradually improve cost efficiency.Within the timeframe of the Strategy 2023-2027, it is the intention of the GPW Management Board to recommend to the General Meeting dividend payments in line with the profitability and financial capacity of GPW, in the range of 60-80% of the consolidated net profit of the GPW Group for each financial year. According to the Strategy, the GPW Group will keep up its acquisition potential. In the absence of acquisitions, the Management Board may recommend to the General Meeting a dividend payout higher than 60-80%.The Company makes the reservation that the objectives and targets of the Strategy are not a forecast or estimate of performance, including financial performance, and refer only to the intended course of action for the period 2023-2027.A detailed description of the strategic initiatives for 2023-2027 will be provided in a presentation to be delivered by the Company at an investor conference on 25 May 2023.
