| Zarząd spółki CD PROJEKT S.A. z siedzibą w Warszawie („Spółka”), aktualizując informację o czynnościach podejmowanych przed Sądem Okręgowym Stanów Zjednoczonych dla okręgu Centralnej Kalifornii (“Sąd”), informuje, że w dniu 4 stycznia 2023 roku otrzymał od kancelarii reprezentującej Spółkę w sprawie pozwu zbiorowego w USA informację o wydaniu przez Sąd postanowienia o wstępnym zatwierdzeniu ugody tj. Order re: motion for preliminary approval of class action settlement (“Postanowienie o Wstępnym Zatwierdzeniu Ugody”). Postanowienie o Wstępnym Zatwierdzeniu Ugody zatwierdza warunki ugody dotyczące w szczególności całkowitego wycofania się przez powodów z jakichkolwiek roszczeń wobec Spółki oraz członków jej zarządu oraz wypłaty klasie powodów kwoty 1 850 000 USD (jeden milion osiemset tysięcy pięćdziesiąt tysięcy dolarów) przez Spółkę oraz ubezpieczyciela – Colonnade Insurance S.A., o czym Spółka informowała w raporcie bieżącym nr 45/2021 z 16 grudnia 2021 roku. W związku z wydaniem Postanowienia o Wstępnym Zatwierdzeniu Ugody, Sąd wraz z administratorem ugody przystąpią do kolejnych czynności formalnych. |

| <html> <head> </head> <body> <p dir="ltr" align="justify" style="line-height: 1.2; margin-top: 0pt; margin-bottom: 10pt"> <font color="rgb(0, 0, 0)" size="11pt" face="Times New Roman"><span style="white-space: pre-wrap">Current Report no. 1/2023</span></font> </p> <p dir="ltr" align="justify" style="line-height: 1.2; margin-top: 12pt; margin-bottom: 10pt"> <font color="rgb(0, 0, 0)" size="11pt" face="Times New Roman"><span style="white-space: pre-wrap">Subject: Update concerning class action lawsuit filed in the USA</span></font> </p> <p dir="ltr" align="justify" style="line-height: 1.2; margin-top: 12pt; margin-bottom: 10pt"> <font color="rgb(0, 0, 0)" size="11pt" face="Times New Roman"><span style="white-space: pre-wrap">Legal basis: Art. 17 of MAR – inside information</span></font> </p> <p dir="ltr" align="justify" style="line-height: 1.2; margin-top: 0pt; margin-bottom: 10pt"> <font color="rgb(0, 0, 0)" size="11pt" face="Times New Roman"><span style="white-space: pre-wrap">The Management Board of CD PROJEKT S.A. with a registered office in Warsaw (hereinafter referred to as “the Company”), in order to provide an update on the case pending before the U.S. District Court for the Central District of California (hereinafter referred to as “the Court”), hereby announces that on 4 January 2023 it received a notification from the law firm representing the Company in the U.S. class action lawsuit, to the effect that the Court had issued an order regarding the preliminary approval of the settlement, i.e. <i>Order re: motion for preliminary approval of class action settlement</i> (“Order Regarding Preliminary Approval of the Settlement”). </span></font> </p> <p dir="ltr" align="justify" style="line-height: 1.2; margin-top: 0pt; margin-bottom: 10pt"> <font color="rgb(0, 0, 0)" size="11pt" face="Times New Roman"><span style="white-space: pre-wrap">The Order Regarding Preliminary Approval of the Settlement approves the provisions of the settlement concerning, in particular, relinquishing any claims against the Company and members of its Management Board, as well as remittance of 1,850,000 USD (one million eight hundred and fifty thousand USD) to the plaintiff class by the Company and its insurer - Colonnade Insurance S.A., as previously disclosed by the Company in Current Report no. 45/2021 of 16 December 2021.</span></font> </p> <p dir="ltr" align="justify" style="line-height: 1.2; margin-top: 0pt; margin-bottom: 10pt"> <font color="rgb(0, 0, 0)" size="11pt" face="Times New Roman"><span style="white-space: pre-wrap">Having issued the Order Regarding Preliminary Approval of the Settlement, the Court, together with the settlement administrator, will proceed with further formal activities related to the case.</span></font> </p> <p dir="ltr" align="justify" style="line-height: 1.2; margin-top: 12pt; margin-bottom: 12pt"> <font color="rgb(0, 0, 0)" size="11pt" face="Times New Roman"><i><span style="white-space: pre-wrap">Disclaimer: This English language translation has been prepared solely for the convenience of English speaking readers.
